These Terms and Conditions govern your access to and use of the AILok website, the assessment application, and all advisory deliverables managed by EvinceDev Inc. (“Company”, “Legal Entity”), a company incorporated in Delaware, United States.
1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the AILok website, the AILok assessment application, and all related advisory services (collectively, the “Services”).
AILok (“AILok”, “we”, “our”, “us”) is an assessment and advisory platform that evaluates dependency, vendor, and AI-readiness risk for businesses through a structured questionnaire, an automated score, and expert-reviewed strategic reports.
This platform operates as a service interface. All legal, operational, and data processing responsibilities are managed by EvinceDev Inc. (“Company”, “Legal Entity”), a company incorporated in Delaware, United States.
By using this website, submitting an assessment, purchasing a report, booking a consultation, or otherwise interacting with our Services, you agree to be bound by these Terms.
2. Eligibility
The Services are intended strictly for business use by individuals aged 18 or over who are authorized to act on behalf of the business they are submitting information about.
By using the Services, you confirm that:
- You are at least 18 years old
- You are acting in a business capacity, not as an individual consumer
- You have the legal authority to submit the information you provide
- The information you provide is accurate and complete to the best of your knowledge
3. Nature of Services
We provide business assessment and advisory services, including but not limited to:
- The free dependency and AI-readiness score
- Strategic Reports, including findings, risk registers, and decision frameworks
- One-on-one expert consultations
- Optional solution design and build engagements, subject to a separate agreement
Important Service Clarifications:
- All services are effort-based and advisory in nature.
- We provide analysis, expertise, and professional judgment; not guaranteed outcomes.
- Findings are derived from the information you supply and from publicly available research.
- Accuracy and usefulness depend directly on the completeness and honesty of your inputs.
- Results may vary depending on business conditions, market factors, and circumstances outside our control.
4. Not Professional Advice
Scores, reports, findings, recommendations, and consultations are advisory business assessments. They do not constitute:
- Legal advice
- Financial, investment, or tax advice
- Accounting or audit services
- Regulatory or compliance certification
- A security audit, penetration test, or formal technical certification
- A formal company valuation or fairness opinion
You should obtain independent professional advice before acting on any finding. No fiduciary, advisory, or professional-client relationship is created by your use of the Services.
5. Free Score Terms
Scope
The free score provides an automated, indicative read on dependency and AI-readiness risk, generated from your questionnaire responses within approximately three minutes.
Limitations
- The free score is generated automatically and is not reviewed by a human expert.
- It is indicative only and is not a formal diagnosis, audit, or professional opinion.
- It is provided “as is”, without warranty of accuracy, completeness, or fitness for any purpose.
- No liability is accepted for decisions made on the basis of the free score.
Fair Use
The free score is offered without charge on the following conditions:
- We reserve the right to limit assessments to one per business, unless otherwise agreed in writing.
- Prior assessments do not entitle you to a discounted or expedited repeat assessment; each submission is evaluated independently under prevailing terms.
- No automated submission, scripting, scraping, or bulk generation of scores.
- No use of the free score to build, train, benchmark, or reverse-engineer a competing product or scoring methodology.
- No resale, sublicensing, or public redistribution of score output.
- You must have authority to submit information about the business being assessed.
We may withdraw, limit, or refuse access to the free score at any time, at our sole discretion.
6. Strategic Report Terms
Scope of the Report
- Full findings and risk register
- Detailed AI-readiness analysis
- A do-nothing impact assessment
- Options and a decision framework
- A forward-looking view of the assessed period
- Senior human expert review
- A 60-minute live one-on-one consultation
Pricing & Payment
- Pricing: $999 USD per Strategic Report, unless a different customized price is confirmed in writing.
- Taxes: Prices are exclusive of any applicable sales tax, VAT, GST, duties, or withholding, which remain your sole responsibility.
- Promotions: Any promotional or introductory price is valid only while displayed and does not create an entitlement to that price in the future.
- Payment Authorization & Capture: Your card is authorized in advance. The charge is captured only on delivery of your completed report, within Stripe's 7-day authorization window. Payments are processed securely via Stripe, Inc.
Delivery Timelines
- Target delivery is 3–5 business days from authorization and receipt of complete questionnaire inputs, excluding weekends and public holidays, and subject to analyst review availability.
- Delivery timelines are operational targets, not guaranteed deadlines.
- The delivery clock pauses where we are awaiting information, clarification, or access from you.
- Delays caused by incomplete, unclear, or late inputs are not our responsibility.
7. Non-Refundable Policy & Resource Allocation
- Findings you disagree with, dislike, or did not expect
- Findings that confirm what you already suspected
- A conclusion that no urgent action is required
- Your decision to discontinue, cancel, or not attend the consultation
- Failure to supply the information needed to complete the assessment
- Any dissatisfaction related to expectations or business outcomes
- Your decision not to proceed with any recommended action
Resource Allocation Rationale
By making payment, you acknowledge that research, analysis, and expert review resources are immediately allocated upon receipt of order, expert time is reserved and blocked for your engagement, and operational costs are incurred regardless of what the findings turn out to be.
A report is delivered on the quality of its independent analysis, not on whether its conclusions are welcome.
8. Consultation Terms
Nature & Coordination: Consultations are advisory sessions intended to walk through report findings, answer strategic questions, and assist in prioritization. The consultation is arranged by our team via email after report delivery (the platform does not feature in-app calendar booking) and is conducted externally via secure video conference or telephone.
- Scheduling Window: The 60-minute consultation is coordinated directly via email correspondence and must be scheduled within 90 days of report delivery.
- Rescheduling: Rescheduling requires at least 24 hours prior notice.
- No-Shows: Failure to attend without notice (“no-show”) forfeits the session; no refund or replacement is provided.
- Expiration: Unused sessions expire after 90 days and hold no cash or credit value.
- No Guarantees: Advice is based on information available at the time. No outcome guarantee is given. Any action you take is at your own risk.
- No Continuing Obligation: Consultations do not create ongoing contractual advisory obligations. Any further work requires a separate written agreement.
9. Solution Builds and Further Engagements
Solution design, development, or implementation work is entirely optional and follows only if you choose to proceed:
- Reports do not obligate you to purchase any further services from us.
- Reports are not designed as sales instruments for our build services; recommendations are made objectively on their merits.
- Any build engagement is governed exclusively by a separate written proposal, Statement of Work (SOW), or contract defining scope, timelines, milestones, and pricing.
- No such build engagement is created by the report, the consultation, or these Terms.
10. Your Responsibilities
You agree to:
- Provide accurate, current, and complete information
- Respond to requests for clarification in a timely manner
- Confirm findings when asked to do so during draft review
- Maintain your own records, backups, and systems security
- Obtain any internal corporate approvals required before submitting information
We are not responsible for outcomes affected by incomplete or outdated information, withheld material facts, response delays, or third-party restrictions preventing access to information.
11. Third-Party Information & Advisor Usage
Information About Third Parties
Your assessment may reference vendors, service providers, contractors, employees, or competitors. You represent and warrant that you have the right and authority to disclose that information, doing so does not breach any non-disclosure or license contract, and you will not submit credentials, customer databases, or sensitive personal data. You agree to indemnify EvinceDev Inc. against any claim arising from information submitted in breach of this provision.
Use by Consultants and Advisors
Where you use the Services on behalf of a client:
- You are the contracting party and remain responsible for payment.
- You must have your client's authority to submit their operational data.
- You are responsible for your own advice, deliverables, and client relationships.
- You may share the report with the specific client it concerns.
- Assessed Business Account & Data Rights: Where you are acting as an advisor, the assessed business has no account with us; their data is stored within the platform under your account. Any statutory privacy or data subject rights requests (including access, correction, or deletion under GDPR, CCPA, or DPDP) on their behalf must be submitted directly by you as the account holder.
- White-labelling, rebranding, resale, or removal of AILok attribution requires prior written permission.
- We accept no liability to your clients or to any third party relying on our output.
12. Automated Processing and AI
You acknowledge and agree that:
- The Services use artificial intelligence and automated analysis to process inputs and generate draft output.
- AI output can contain errors, omissions, or inaccuracies.
- The free score is fully automated; Strategic Reports are reviewed by human experts before delivery.
- Human review reduces but does not completely eliminate the possibility of error.
- Findings referencing named vendors, platforms, or markets reflect publicly accessible information available at the time and may change.
- You remain solely responsible for verifying material findings before taking strategic business decisions.
Handling of your data during automated processing is governed by our Privacy Policy.
13. Intellectual Property
Website and Platform
All website and application content; text, graphics, visuals, layouts, branding, logos, and design elements; is the exclusive intellectual property of EvinceDev Inc. unless otherwise stated.
Your Data
You retain all rights in the information and materials you submit. You grant us a limited, worldwide licence to use them solely to deliver the Services, as described in our Privacy Policy.
Your Report Licence
Upon full payment, you receive a perpetual, non-exclusive licence to use your Strategic Report for your own internal business purposes, including sharing it with your board of directors, advisors, and, where applicable, the client it concerns.
You may not publish, resell, or commercially redistribute the report, remove attribution notices, or use it to build or benchmark a competing assessment product.
Our Methodology & Trademarks
All scoring methodologies, algorithms, assessment frameworks, question sets, prompts, templates, and know-how remain the exclusive property of EvinceDev Inc. AILok, EvinceDev, and all associated logos are trademarks of EvinceDev Inc.
14. Acceptable Use
You agree not to:
- Use the Services for fraudulent, deceptive, or unlawful purposes
- Attempt unauthorized access to our systems, servers, models, or databases
- Scrape, crawl, or extract content or output at scale
- Submit deliberately false information to probe or manipulate our scoring methodology
- Reverse-engineer, replicate, or benchmark our proprietary assessment frameworks
- Misrepresent your identity, role, or corporate authority
- Interfere with the operation, security, or availability of the platform
We reserve the right to restrict or terminate access where misuse is detected.
15. Disclaimers & No Guarantee of Results
General Disclaimer
The Services and all content are provided “as is” and “as available”. We make no warranties, express or implied, regarding accuracy, reliability of scores, fitness for a particular purpose, or uninterrupted availability.
No Guarantee of Commercial Results
We do not guarantee:
- Cost savings or improved vendor pricing
- Successful contract renegotiation or exit
- Revenue growth, efficiency gains, or performance benchmarks
- That every material risk in your business will be identified
- Any specific business or financial outcome
All services are delivered on a best-effort basis.
16. Limitation of Liability & Liability Cap
To the maximum extent permitted by law, AILok and EvinceDev Inc. shall not be liable for:
- Loss of revenue, profits, business, or anticipated savings
- Loss or corruption of data
- Indirect, incidental, special, or consequential damages
- Decisions made, or not made, on the basis of our scores, reports, or consultations
- Contracts entered into, renewed, renegotiated, or terminated in reliance on our findings
- Third-party platform outages or vendor conduct
- Risks not identified where relevant information was not disclosed to us
If liability is established under any cause of action, our aggregate liability shall not exceed the amount you actually paid for the specific service giving rise to the claim. For the free score, where no payment has been made, our aggregate liability is nil to the maximum extent permitted by law.
17. Indemnification & Confidentiality
Indemnification
You agree to indemnify and hold harmless EvinceDev Inc., its affiliates, officers, employees, and contractors from any claims, losses, damages, liabilities, or legal expenses arising from your misuse of the Services, violation of these Terms, submission of information without authority, or third-party reliance on output shared by you.
Confidentiality
We treat your non-public assessment inputs and your report as confidential business information, as set out in our Privacy Policy. Submitting information does not, by itself, create a fiduciary or advisory relationship. Where a mutual non-disclosure agreement (NDA) is executed, that agreement prevails over this section.
Case Studies and Client Names
We will not name you, your company, or your vendors in marketing materials, case studies, or public content without your prior written permission. Anonymized and aggregated insights may be used in industry research and benchmark reports.
18. Termination, DMCA & Force Majeure
Termination
We reserve the right to suspend or terminate access where these Terms are violated, payment fails or is disputed without basis, communication becomes abusive, or we reasonably believe services are being used to gather unauthorized third-party intelligence. Where terminated for cause, no refund is due.
On termination or account suspension, your data is handled and retained strictly in accordance with the retention schedules and statutory provisions set out in our Privacy Policy.
DMCA & Copyright
EvinceDev Inc. respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content infringes your copyright, submit a written notice to support@ailok.io. Verified claims will result in prompt removal.
Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, war, civil unrest, labour action, government action, telecommunication failure, or major third-party AI provider outages.
19. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising from your use of the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and EvinceDev Inc. regarding the Services, except where superseded by a signed written agreement. If any provision is found unenforceable, the remaining provisions remain in full force.
